1. General

These Terms & Conditions apply to all visitors of the HAVN website (www.havn.com), to any showroom visits, and to all offers, quotations, or sales of products and services made by HAVN (VEDETTEN NV).

By accessing our website, visiting our showroom, or purchasing products, you agree to be bound by these Terms & Conditions.

HAVN reserves the right to update or modify these Terms at any time. The most recent version will always be available on this page.

These Terms take precedence over any terms of the buyer or third parties unless expressly agreed otherwise in writing.

2. Scope of Activities

HAVN curates, distributes, and presents high-end design objects, lighting, outdoor furniture, and related products from selected partner brands.

Sales may occur directly through HAVN, through represented brands (such as MAZU), or through partner showrooms. HAVN may also provide project consultancy, styling guidance, B2B introductions, and sales support.

All activities are performed exclusively in a professional B2B context unless otherwise stated.

3. Products and Offers

All products presented online or in the showroom (including MAZU planters and other partner brands) are subject to availability and may vary in finish, color, or dimensions.

All prices are expressed in euros (EUR).

Unless stated otherwise, prices exclude VAT and exclude delivery or transport costs.

HAVN reserves the right to adjust prices, descriptions, technical specifications, and availability at any time without prior notice.

Any offer or quotation is valid for 1 month, unless otherwise indicated.

4. Orders and Payments

An order is binding only after written confirmation by HAVN or upon payment confirmation.

Payments must be made according to the invoicing terms indicated in the quotation or invoice.

Ownership of the products remains with HAVN or its represented brands until full payment has been received.

In case of order cancellation by the buyer, HAVN may charge a fixed compensation of 50% of the order value, unless agreed otherwise in writing.

5. Delivery & Collection

Delivery terms will be specified per order. HAVN is not liable for delays caused by suppliers, transport partners, customs, or force majeure.

When goods are collected from the HAVN showroom or warehouse, the buyer is fully responsible for transport, loading, protection, and handling.

Risk transfers to the buyer at the moment of collection or delivery, whichever occurs first.

6. Returns & Cancellations

Because HAVN operates primarily with made-to-order, special-finish, or curated design items, returns are accepted only in the event of:

  • clear manufacturing defects, or

  • incorrect goods delivered by HAVN.

Any issue must be reported in writing within 48 hours of delivery.

Cancellations must be submitted in writing within 48 hours of order placement unless otherwise contractually agreed.

7. Liability

HAVN cannot be held liable for indirect damages such as loss of profit, loss of opportunity, reputational damage, installation costs, or data loss.

HAVN’s liability is always limited to the invoice amount of the product or service concerned.

Natural material variations (colour, patina, oxidation, etc.) characteristic of products like Corten steel do not constitute a defect.

8. Intellectual Property

All content on www.havn.com — including text, product descriptions, imagery, layouts, branding elements, and documentation — is protected by copyright and intellectual property laws.

No content may be reproduced, copied, or redistributed without written permission from HAVN or the relevant brand owner.

9. Governing Law and Jurisdiction

These Terms & Conditions are governed exclusively by Belgian law.

Any dispute falls under the exclusive jurisdiction of the Courts of Antwerp, business courts (Ondernemingsrechtbank Antwerpen), unless mandatory law specifies otherwise.
